Constitution and Bylaws of the South Eastern Nurses Operating Room Association (S.E.N.O.R.A.)



Article I-Name

The name of the organization is the South Eastern Nurses Operating Room Association.

Article II-Objectives

1. To promote standards of perioperative nursing for optimum patient care in the perioperative phase.
2. To support perioperative nurses throughout the region with opportunities for continued professional growth and development by means of meetings and /or seminars.
3. To liaise with other professional associations, hospitals, educational establishments and community agencies to promote quality perioperative patient care.
4. To facilitate retention and recruitment of perioperative nurses by increasing public awareness of our professional specialty.

Article III-Membership

1. Active members :( voting members) Registered Nurses in Ontario currently employed in perioperative nursing, education and /or administration.
2. Associate members :( Non-voting members)
   a) A Registered nurse engaged in an allied field of nursing that has special skills or knowledge relative to perioperative nursing.
   b) A Registered Nurse who is inactive but with perioperative experience.
   c) An R.P.N. / O.R. technician.
3. Student members (non-voting)

Article IV-Fees

1. The annual membership fees shall be reviewed and set on a yearly basis. The annual fees shall be due in September of each year and shall be forwarded to the ORNAO treasurer by November 1 of each year.
2. A portion of each active membership fee, as determined by the board of O.R.N.A.O., shall be contributed to the provincial treasury annually.
3. The fiscal year shall be from July 1st-June 30th.
4. Fees for the membership shall be as follows: (reviewed annually)
   a. Active: $50.00 per year (Sept. 2006)
   b. Associate: $30.00 per year (Sept. 2006)
   c. Student: $10.00per year (Mar. 2006)
5. The SENORA association will reimburse president and President-Elect RNAO fees.
6. Receipts will be issued for income tax purposes.

Article V - Executive

The executive shall consist of the following:
1. President (Current member of RNAO)
2. President-Elect (Current member of RNAO)
3. Secretary
4. Treasurer
5. Past President (immediate)

Article VI - Election of the Executive

1. The term of office of each executive member shall be two years and no more than 2 terms in the same office. (Revised Sept. 2002) The President and President-Elect shall be elected in the odd numbered years in May. The position will commence in September.
2. The Secretary and the Treasurer shall be elected in the even numbered years in May. The position will commence in September.
3. The President-Elect will assume the position of the President upon expiry of her/his term as President-Elect.

Article VII – Duties of the Executive

1. President:
• Call and preside at all meetings of the association and of the executive.
• Be “ex-officio” member of all committees thereof, except the Nominating Committee.
• A board member of O.R.N.A.O.
• An active member of RNAO.

2. President-Elect
• Perform such duties as delegated by the President.
• In the absence of the President, perform the duties of the President.
• A board member of O.R.N.A.O.
• An active member of the RNAO.
• Chair of the Education Day Committee.
• Chair of the SENORA bursary.

3. Secretary
• Record and distribute minutes of all meetings, general and executive.
• Maintain records of all communications.
• Keep an accurate record of attendance at meetings.
• Carry on correspondence as delegated.

4. Treasurer
• Collect annual membership fees and issue receipts for the same.
• Record collection of funds and their expenditures.
• Provide a financial statement for general and executive meetings.
• Keep an accurate list of the membership.
• Arrange for an audit every 2 years or keep an ongoing internal self-review by the executive.

5. Past President
• Act as consultant to the executive.
• Perform such duties as designated by the President.
• Chairperson of the nomination committee.

Article VIII-Quorum

There must be a quorum of the executive present for business to proceed.

Article IX-Amendments

The executive may recommend that these bylaws be revoked or amended as the need arises.

1. Addition of the position of Education programme chair. This position will help facilitate executive meetings and plans as outlined in the March and May 2006 executive minutes. The chair will be an invited guest to all executive meetings.
Duties will include:
   1. A contact for all host sites for educational purposes including but not restricted to posters, dates, equipment and stipends for guest speakers.
   2. Obtaining the stipends with SENORA funds.
   3. Assisting the responsible site with door prizes or gift baskets for raffling by providing tickets, boxes, and thank you letters on SENORA letterhead.
   4. Attending executive meetings as invited.
   5. Providing a short report as necessary at general meetings.
